Will has extensive experience across a range of banking and finance transactions, with a particular focus on leveraged finance and restructuring.

Will is known for his clear communication style, expert legal knowledge and focus on getting the deal done. Will specialises in the financing of public and private M&A, having acted on the major transactions in the New Zealand market over the last 20 years.

Will’s work on debt restructuring transactions, many involving international banks and funds, has seen him twice being named by UK publication Finance Monthly as one of the top 100 advisors globally in finance.

Together with leveraged finance and restructuring, Will has a broad practice which includes acting for borrowers, banks and credit funds on bilateral and syndicated lending, aircraft and maritime finance, fund finance and special situations.

Public M&A financing

Advised the financiers in relation to Contact Energy’s NZ$1.7bn acquisition of Manawa Energy (energy), BGH Capital and Sixth Street’s NZ$1.54bn acquisition of Pushpay Holdings (technology), Apax Partners’ NZ$2.6bn acquisition of Trade Me (technology), and BGH Capital and OTTP's acquisition of Abano (healthcare).

Private M&A financing

Advised KKR in its acquisition and refinancing of Ritchies Transport (transport), Quadrant Private Equity in relation to transactions involving QMS and MediaWorks (media), and financiers in relation to the management buy-out of NPD (retail and consumer).

Special situations / R&I

Advised the founder of Villa Maria Wines in relation to the restructuring of his company (beverages), both Bank of China and Industrial and Commercial Bank of China in relation to the collapse of listed entity CBL Insurance (insurance), the liquidators of Mainzeal in relation to the recovery of amounts owing by the directors, and the senior creditors on the debt for equity swaps of both Yellow Pages Group and MediaWorks (media).

Structured / non-bank financing

Advised a financier providing a direct funding line to an NZ private equity fund, a global investment bank providing margin lending against listed securities, and multiple mezzanine financing transactions.

Receivers

Advised the receivers on the receiverships of Burger King (quick service restaurants), Van Leuwen Group (large scale dairy farming) and Kenyon Clarke’s Sarvee Group (property).

Asset finance

Advised the financiers on multiple aircraft deliveries for Air New Zealand (aviation), and in relation to KiwiRail’s acquisition of new Interislander ferries (maritime).

Energy sector financing

Advised Todd Corporation in relation to its financing arrangements, and separately the financiers to each of Powerco, Vector and Clarus.
