ABN AMRO
Takeover of CanWest MediaWorks (NZ) Limited
Mayne Wetherell acted, together with Clayton Utz, for ABN AMRO, BOS International (Australia) Limited and Royal Bank of Scotland as arrangers and financiers in relation to the acquisition of shares in CanWest MediaWorks (NZ) Limited by HT Media Limited (a subsidiary established by the sponsors, Ironbridge Capital and Oaktower Partnership). The takeover offer was made in June 2006.
Acquisition of Yellow Pages Group
Mayne Wetherell acted for ABN AMRO, Barclays Bank, Calyon and Deutsche Bank as arrangers and financiers in relation to the acquisition by CCMP Asia and the Ontario Teachers' Pension Board of Yellow Pages Group for a purchase price exceeding NZ$2.1 billion. The transaction completed in April 2007.
Funding of Tararua Windfarm for TrustPower
Mayne Wetherell acted for ABN when it funded TrustPower's expansion of Tararua, one of the largest wind generation products in the southern hemisphere. The transaction closed in March 2006, with ABN providing TrustPower with NZ$110.9m of long term debt.
Wrightson Finance listed bond issue
In May 2005, Wrightson Finance issued up to $60m of listed, secured fixed rate bonds. Mayne Wetherell acted for ABN AMRO Bank and ABN AMRO Craigs as the joint lead managers and for ABN AMRO Bank as underwriter.
Equity bridge for Vector takeover of NGC (Project Nugget - ALB "New Zealand Deal of the Year 2005")
In October 2004, Vector Limited announced that it had agreed to purchase the 66% stake in the NGC Holdings Limited held by the Australian Gas Light Company. Under New Zealand takeover law, Vector was required to make an offer to purchase all remaining shares in NGC. The $1.3bn takeover was supported by an equity bridge facility provided by ABN AMRO. Mayne Wetherell advised ABN AMRO.
Auckland Hospital carpark
On 2 July 2004, it was announced that an ABN AMRO led consortium had won a 20 year car parking licence of Auckland District Health Boards' parking operations at Grafton and Greenlane hospitals at a cost of $16.3m. The transaction was funded using a project financing structure comprising rated debt and equity. Mayne Wetherell advised ABN AMRO. |
